Terms of Service
⚠️ Draft — pending legal review. This is placeholder text that outlines the intended structure of our Terms of Service. It is not yet legally binding and will be replaced with a solicitor-reviewed version.
These Terms cover the MSP Pulse Service, which is not yet open to the public. If you are here from the expression-of-interest form, the part that applies to you today is section A of the Privacy Policy, which is complete and binding.
These Terms of Service ("Terms") govern your access to and use of the MSP Pulse platform and related services (the "Service") operated by Stuart Howard ("we", "us", "MSP Pulse"). By accepting an invitation, creating an account, or otherwise using the Service, you agree to be bound by these Terms.
1. The Service
MSP Pulse is a subscription operations platform for managed IT service providers, provided on a software-as-a-service basis. We may update, improve, or change features from time to time.
2. Accounts & eligibility
You must provide accurate account information and are responsible for the activity of all users under your account, including keeping credentials and two-factor authentication secure.
3. Early access
The Service is not open to the public. Access during early access is by invitation only, and we may decline or withdraw an invitation at our discretion.
An invited account includes an evaluation period at no charge and with no payment card required. At the end of that period the account transitions to a paid subscription. If no payment method is provided, the account enters a read-only grace period rather than being deleted, and your data remains exportable.
4. Subscription, fees & billing
Paid subscriptions are billed per engineer seat per month. Fees, billing cycle, and cancellation terms are as presented at sign-up and in your account. You may cancel at any time; access continues until the end of the paid period.
5. Acceptable use
You agree not to misuse the Service, including attempting to access it in an unauthorised way, interfering with its operation, or using it to store or transmit unlawful content.
6. Your data
You retain ownership of the data you and your customers put into the Service. Our handling of personal data is described in our Privacy Policy. Data export is available at any time, including during and after the evaluation period.
7. Intellectual property
The Service, including its software, design, and documentation, is the proprietary and confidential property of Stuart Howard. No rights are granted except the limited right to use the Service under these Terms.
8. Availability & support
We aim to keep the Service available and to provide reasonable support, but the Service is provided on an "as available" basis. Any specific service levels will be set out separately.
9. Warranties & liability
[To be completed on legal review — disclaimers of warranty and limitation of liability appropriate to the applicable jurisdiction.]
10. Termination
You may stop using the Service and cancel at any time. We may suspend or terminate access for breach of these Terms, subject to a reasonable opportunity to remedy where appropriate.
11. Governing law
[To be completed on legal review — governing law and jurisdiction, expected to be the Republic of Ireland.]
